This Hold Harmless Agreement (hereinafter referred to as the "Agreement") is made and entered into on this _______ day of _______, _______, by and between ____________________ (hereinafter referred to as the "Promisor") and ____________________ (hereinafter referred to as the "Promisee"), collectively referred to as the "Parties".

WHEREAS, the Parties wish to set forth the terms and conditions regarding the Promisor's agreement to indemnify and hold the Promisee harmless from and against any and all claims, losses, damages, liabilities, judgments, penalties, costs, and expenses, including attorneys' fees, arising directly or indirectly from any act or omission of the Promisor, or the use of the property, facilities, and services related to this Agreement.
